About SpeakJP

SpeakJP provides online opportunities for Japanese-language learners to improve their speaking ability through natural conversation and interaction.

Services may include:

• Online one-on-one Japanese conversation sessions
• Online group Japanese conversation sessions
• Multi-session one-on-one packages
• Monthly group-session subscriptions
• Access to a Japanese learners’ community
• Online community meetups
• Real-time captions and translation
• Session recordings and AI-generated transcripts for eligible one-on-one sessions
• Other related language-learning support

The specific content, duration, availability, price, and included features of each service are displayed on the SpeakJP website, booking page, purchase page, or checkout page.

Nature of the Services

SpeakJP primarily provides conversation-based Japanese practice.

The services are not designed as:

• Structured grammar courses
• JLPT or other examination-preparation courses
• Accredited educational programs
• Professional translation or interpretation services
• Legal, medical, financial, or other professional advice

SpeakJP does not guarantee:

• A particular level of fluency
• A particular improvement within a specific period
• Passing an examination
• Employment, educational, immigration, or other outcomes
• That every participant will experience the same results

Progress depends on many factors, including participation, prior ability, practice, learning habits, and individual circumstances.

Eligibility and Acceptance

You may use SpeakJP only if you are legally capable of entering into an agreement under the law applicable to you.

If you are a minor or otherwise require consent from a parent or legal guardian, that person must approve your purchase and participation.

By purchasing or using a service, you confirm that:

• The information you provide is accurate
• You are authorized to use the selected payment method
• You have reviewed the applicable service description and price
• You agree to these Terms

User Information and Accounts

You must provide accurate and current information when purchasing, booking, or joining a service.

This may include:

• Your full name
• Email address
• Time zone
• Booking information
• Information required by SimplyBook.me, Stripe, Whop, Zoom, Discord, or another service provider

You are responsible for:

• Maintaining access to your email account
• Protecting your passwords and account credentials
• Checking booking confirmations and notices
• Keeping your contact information current
• Reviewing the displayed date, time, and time zone before confirming a booking
• Ensuring that no unauthorized person uses your booking, package, subscription, or community access

You may not sell, transfer, share, or assign your account, bookings, package credits, subscription, or community access without our permission.

Third-Party Platforms

SpeakJP may use third-party services including:

• SimplyBook.me
• Stripe
• Whop
• Zoom
• Discord
• Google
• Gmail or another email provider
• Other hosting, booking, payment, communication, or technical services

Your use of those platforms may also be subject to their own terms, privacy policies, technical requirements, and account rules.

SpeakJP does not control the operation, availability, or policies of third-party platforms.

You are responsible for creating and maintaining any third-party account required to access a service.

Prices and Currency

Unless otherwise stated, SpeakJP prices are displayed and charged in United States dollars (USD).

Current or promotional prices may include:

• Monthly group-session subscriptions
• Individual one-on-one sessions
• Five-session one-on-one packages
• Ten-session one-on-one packages

The final price displayed on the applicable checkout page at the time of purchase applies.

Prices may change for future purchases.

A price change will not normally alter a transaction that has already been completed.

Promotional and Early-Customer Pricing

SpeakJP may offer promotional pricing to a limited number of customers.

7.1 Group Subscription Early Price

Where displayed, the first eligible group members may receive a promotional monthly subscription price.

That promotional price remains fixed only while the qualifying subscription remains continuously active.

If the subscription is cancelled, expires, fails because of payment problems, or is otherwise terminated, the promotional price is not guaranteed to remain available.

If the user later subscribes again, the price available at the time of rejoining will apply.

7.2 One-on-One Early Price

Where displayed, the first eligible one-on-one customers may receive a promotional price.

Eligibility is determined according to the conditions displayed at purchase.

Promotional availability may end once the stated number of qualifying customers has been reached.

7.3 No Reservation of Promotional Price

Viewing the website, joining a waiting list, beginning checkout, or contacting SpeakJP does not reserve a promotional price.

The price is secured only when the applicable purchase is successfully completed, unless expressly stated otherwise.

Payments

Payments may be processed through Stripe, Whop, or another provider displayed at checkout.

You authorize the applicable provider to charge the selected payment method for:

• The displayed purchase price
• Recurring subscription charges, where applicable
• Any tax or charge required by law

SpeakJP does not ordinarily receive or store your complete card number.

Your bank or card issuer may apply:

• Foreign-transaction fees
• Currency-conversion fees
• Bank fees
• Card-issuer charges

These charges are determined by your financial institution and are not charged or controlled by SpeakJP.

Payment Failure

If a payment is declined, reversed, disputed, refunded, charged back, or otherwise not successfully completed, SpeakJP may:

• Suspend the relevant booking
• Prevent further bookings
• Suspend package use
• Suspend subscription access
• Remove or restrict community access
• Request another valid payment method
• Cancel the applicable purchase

Access may remain suspended until payment is successfully resolved.

One-on-One Sessions

Unless otherwise displayed, each one-on-one session lasts 40 minutes.

One-on-one sessions are intended for natural Japanese conversation practice and may include:

• Topic-based conversation
• Casual conversation
• Real-time correction where appropriate
• Support adjusted to the participant’s level
• Real-time captions and translation
• Optional recordings and AI transcripts, where requested and available

The service is not a lecture-based course unless expressly stated otherwise.

Booking One-on-One Sessions

One-on-one sessions must be booked through the designated booking system.

Availability is shown on the booking page and may change.

A booking is not confirmed until the booking system displays confirmation or sends a confirmation message.

You are responsible for:

• Selecting the correct service
• Selecting the correct date and time
• Confirming the displayed time zone
• Entering a valid email address
• Checking the confirmation message
• Joining through the correct session link

SpeakJP is not responsible for a missed session caused by the user selecting or misunderstanding the wrong time zone where the booking page displayed the selected time zone.

Rescheduling One-on-One Sessions

A one-on-one session may be rescheduled only if the request is made at least 24 hours before the scheduled start time. Each one-on-one session may be rescheduled only once.

The request must be sent to:

The request should include:

• The full name used for the purchase or booking
• The scheduled session date and time
• A clear request to change the booking

Requests sent through Instagram, TikTok, X, Discord direct messages, or other social-media direct messages are not treated as valid rescheduling requests unless SpeakJP expressly confirms acceptance.

Requests received less than 24 hours before the scheduled start time are generally not accepted.

SpeakJP may choose to make an exception in an emergency or other special circumstance, but is not required to do so.

An exception granted once does not create a right to future exceptions.

Cancellation by the Participant

Participant-requested cancellation of a one-on-one session does not normally create a right to a refund.

Where a session is cancelled at least 24 hours before its scheduled start time, SpeakJP may permit rescheduling under the rescheduling rules stated above.

Cancellation less than 24 hours before the scheduled start time is treated as a used session unless SpeakJP expressly approves an exception.

Late Arrival

Participants should join on time.

If you arrive late:

• The session will ordinarily still end at its originally scheduled time
• The session is not guaranteed to be extended
• The full session fee or package credit remains used
• A refund or replacement session will not normally be provided

If the host is late, reasonable effort will be made to provide the full scheduled session time or an appropriate alternative.

No-Show

If you do not attend a scheduled one-on-one session and no rescheduling request was accepted in advance:

• The session is treated as provided
• The session fee is non-refundable
• The applicable package credit is deducted
• No replacement session is guaranteed

Failure to see or open a confirmation email does not automatically excuse a no-show if the booking was otherwise successfully confirmed.

One-on-One Session Packages

SpeakJP may offer packages containing multiple one-on-one sessions.

A package may be used only for:

• The service specified at purchase
• The number of sessions included in that package
• The purchaser or authorized user

One-on-one packages and group-session subscriptions are separate products.

They cannot be:

• Combined
• Exchanged
• Converted into each other
• Redeemed for cash
• Transferred to another person

unless SpeakJP expressly agrees otherwise.

Package Validity

One-on-one session packages are valid for 12 months from the date of purchase.

All included sessions must be booked and used within that 12-month period.

Any unused sessions remaining after the expiration date are forfeited and cannot be:

• Used
• Extended
• Refunded
• Exchanged
• Converted into cash or credit

SpeakJP may grant an extension in exceptional circumstances at its sole discretion, but is not required to do so.

A discretionary extension does not create a right to future extensions.

Use of Package Credits

One package credit is used for each eligible completed, missed, or late-cancelled session.

A package credit is deducted when:

• The session is completed
• The participant does not attend
• The participant cancels less than 24 hours before the session
• An accepted rescheduling arrangement is not followed
• The participant joins too late for the session to be reasonably provided

Where SpeakJP cancels the session and no session is provided, the credit will ordinarily be restored or a replacement session offered.

Group Sessions

Group sessions are online Japanese conversation sessions for multiple participants.

They may include:

• A mini lesson
• Useful Japanese expressions
• Themed conversation practice
• Breakout rooms
• Participant questions
• Support from the host
• Real-time captions and translation

The exact format may vary depending on:

• Attendance
• Participant levels
• Technical limitations
• Available session time
• Operational needs

Group-Session Scheduling

Group-session dates and times may be determined through:

• Member voting
• Demand
• Host availability
• Participant availability
• Operational considerations

Voting expresses availability or preference only.

It does not guarantee:

• That every proposed time will be used
• That every member’s preferred time will be selected
• That a particular number of sessions will be held at each time
• That the schedule will remain unchanged

SpeakJP makes the final scheduling decision.

Group-Session Attendance

A group subscriber may attend eligible sessions made available under the subscription, subject to:

• Capacity
• Scheduling
• Community rules
• Technical requirements
• Any restrictions displayed on the service page

If a member cannot attend a particular group session:

• No individual rescheduling is provided
• No substitute one-on-one session is provided
• No refund or credit is provided solely for that missed session

Participants may not demand that a session be held at a specific date or time.

Group-Session Subscription

Unless otherwise displayed, the group-session service is a recurring monthly subscription.

The subscription:

• Begins when the initial payment is successfully completed
• Renews automatically at the applicable billing interval
• Continues until cancelled
• Is charged through the applicable payment provider

You are responsible for cancelling before the next renewal charge if you do not wish to continue.

Cancelling the Group Subscription

Cancellation stops future renewal charges.

Cancellation does not normally:

• Refund the current billing period
• Produce a prorated refund
• Extend the current billing period
• Restore a promotional price after rejoining
• Create credit for unattended sessions

To continue accessing the service until the end of your current paid billing period, you must complete the cancellation using the method specified by SpeakJP.

If you complete the cancellation using the method specified by SpeakJP, your subscription will remain active until the end of your current paid billing period. No further renewal charges will be made unless you subscribe again.

Deleting your Discord or Whop account does not automatically cancel your paid subscription.

Group-Subscription Refunds

Payments already completed for a group subscription are generally non-refundable except where:

• A duplicate charge is confirmed
• An obvious payment error is confirmed
• SpeakJP approves an exception
• A refund is required by applicable law

The following do not ordinarily qualify for a refund:

• Failure to attend
• Dissatisfaction with the selected schedule
• A change in personal availability
• Failure to vote
• Failure to check announcements
• Failure to cancel before renewal
• Temporary absence from the community
• Personal technical problems

Cancellation or Changes by SpeakJP

SpeakJP may cancel, postpone, shorten, relocate, or reschedule a session due to:

• Illness
• Emergency
• Technical failure
• Internet outage
• Zoom or platform outage
• Safety concerns
• Insufficient participation
• Unforeseen circumstances
• Other reasonable operational reasons

25.1 One-on-One Sessions

If SpeakJP cancels a paid one-on-one session, SpeakJP will ordinarily offer one of the following:

• Rescheduling
• Restoration of the applicable package credit
• Another reasonable alternative

If a reasonable replacement cannot be provided, a refund may be issued for the affected session.

25.2 Group Sessions

A cancelled or changed individual group session does not automatically create a right to a refund.

If disruption to the group service becomes substantial, SpeakJP will determine a reasonable response based on:

• The duration and seriousness of the disruption
• Services that were still available
• Applicable law
• The circumstances of the affected members

Refund Policy

Because SpeakJP provides scheduled online services and digital access, purchases are generally non-refundable after completion.

Refunds may be considered where:

• A duplicate payment is confirmed
• A clear payment error is confirmed
• SpeakJP cancels an affected paid one-on-one session and cannot provide a reasonable replacement
• A refund is required by applicable law
• SpeakJP expressly approves an exception

The following do not normally qualify for a refund:

• Change of mind
• Personal scheduling conflicts
• Failure to attend
• Late arrival
• Late cancellation
• Failure to cancel a subscription before renewal
• Failure to use a package before its 12-month expiration
• Dissatisfaction based solely on personal preference
• User-side technical problems
• Failure to check email or community announcements
• Inability to attend a specific group session
• Temporary inaccuracy of captions or transcripts
• Changes to the included community

Nothing in these Terms excludes or restricts rights that cannot legally be excluded.

For online sales in Japan, clear return and cancellation conditions should be presented to customers; these Terms are intended to operate together with the service page, checkout conditions, and the separate legally required sales disclosure.

Chargebacks and Payment Disputes

Before initiating a chargeback or payment dispute, you should contact SpeakJP at:

This allows us to review possible:

• Duplicate payments
• Incorrect charges
• Technical errors
• Unauthorized transactions
• Service-delivery problems

Fraudulent or abusive chargebacks may result in suspension or termination of service access.

Nothing in this section prevents you from exercising legitimate rights through your payment provider or applicable law.

Termination by the User

You may stop using SpeakJP at any time.

Stopping use does not automatically:

• Cancel a subscription
• Create a refund
• Extend a package
• Preserve an expired promotional price
• Remove outstanding payment obligations

Recurring subscriptions must be cancelled through the specified cancellation method.

Community Access

An eligible purchase may include access to the SpeakJP Japanese Learners Community.

Community access is:

• Included as a bonus with an eligible purchase
• Not sold as a permanent standalone entitlement
• Subject to these Terms and the community rules
• Available only while the community continues to operate

Where stated, a purchaser may remain in the community after the paid plan or package ends, as long as:

• The community still exists
• The user follows the rules
• The applicable platform remains available
• SpeakJP has not suspended or terminated the user’s access

No Guarantee of Permanent Community Operation

SpeakJP does not guarantee:

• Permanent operation of the community
• Permanent use of Discord
• Permanent access to a specific server or channel
• A minimum number of members
• A minimum level of activity
• A minimum number of messages
• A fixed frequency of community meetups
• Individual support in the community
• An answer to every question

SpeakJP may:

• Change the platform
• Change the channel structure
• Add or remove channels
• Restrict access
• Pause the community
• Close the community

No refund is provided solely because the included community is changed, migrated, paused, or discontinued.

Community Meetups

SpeakJP may occasionally hold online meetups where users can communicate with the host or other members.

Meetups are optional and may be:

• Announced irregularly
• Cancelled or changed
• Limited by capacity
• Subject to additional participation rules

SpeakJP does not guarantee any minimum meetup frequency.

Community and Session Conduct

All participants must treat the host and other users respectfully.

The following conduct is prohibited, including but not limited to:

• Harassment
• Threats or intimidation
• Abusive or insulting behavior
• Discriminatory or hateful conduct
• Sexual harassment
• Unwanted romantic or personal advances
• Repeated unsolicited direct messages
• Sharing illegal, violent, or seriously inappropriate material
• Spam
• Unauthorized advertising
• Unauthorized solicitation or recruitment
• Fraud or impersonation
• Account sharing
• Disrupting a session, vote, event, or community
• Deliberately interfering with another participant’s learning
• Sharing another person’s personal information without permission
• Recording another participant without permission
• Distributing session links to unauthorized persons
• Circumventing access restrictions
• Conduct creating a reasonable safety or privacy concern
• Any other conduct that reasonably disrupts a safe, respectful, or comfortable environment or causes discomfort to other participants or the host.

Enforcement and Removal

Where reasonably necessary, SpeakJP may:

• Give a warning
• Delete content
• Restrict posting
• Mute a user
• Remove a user from a session
• Restrict specific channels
• Suspend community access
• Terminate community access
• Suspend or terminate service access

Immediate removal may occur without a prior warning where conduct is serious or creates a safety, privacy, legal, or operational risk.

Where access is suspended or terminated because of the user’s conduct, no refund is normally provided for:

• Used services
• Missed sessions
• The current subscription period
• Expired or forfeited credits
• Included community access

This does not limit any right that cannot legally be excluded.

The Booking & Cancellation Policy (Summary) and the Community & Environment Policy (Summary) are provided as easy-to-read summaries of the relevant provisions of these Terms of Service. These Terms of Service remain the governing document.

Suspension and Termination by SpeakJP

SpeakJP may suspend or terminate access where a user:

• Violates these Terms
• Violates community rules
• Fails to pay
• Engages in fraud or abuse
• Harasses another person
• Misuses recordings or content
• Shares access with unauthorized persons
• Creates a safety or privacy risk
• Disrupts the service
• Causes significant operational or legal risk

SpeakJP may take action proportionate to the circumstances.

Official Communications and Support

The official SpeakJP support contact is:

SpeakJP generally does not provide formal support through:

• Instagram direct messages
• TikTok direct messages
• X direct messages
• Discord direct messages
• Other social-media direct messages

Operational notices may be sent through:

• Email

• The SpeakJP website
• Another platform used to provide the service

You are responsible for checking messages associated with your account.

Zoom and Technical Requirements

Sessions may be conducted through Zoom or another online platform.

You are responsible for having:

• A compatible device
• A stable internet connection
• A working microphone
• Headphones where appropriate
• A current browser or application
• Any required account
• A suitable and safe environment

A camera may be recommended but is not necessarily required unless specifically stated.

User-Side Technical Problems

SpeakJP is not normally responsible for a participant’s inability to join or participate because of:

• Weak or unavailable internet
• Device malfunction
• Microphone or camera failure
• Outdated software
• Incorrect account settings
• Forgotten passwords
• Local restrictions
• Failure to install or update required software
• Incorrectly selected time zone
• Failure to open the provided link

A session affected primarily by a user-side technical problem is treated as provided and is not normally refunded or replaced.

SpeakJP may choose to assist or provide an exception but is not required to do so.

Third-Party Platform Problems

SpeakJP relies on third-party platforms and cannot guarantee uninterrupted availability.

SpeakJP is not responsible for a failure caused solely by a third-party service outside its reasonable control, including:

• Platform outages
• Account restrictions
• Changes to a third-party service
• Security incidents affecting a third party
• Loss of a third-party feature
• Regional availability restrictions
• Discord, Zoom, Stripe, Whop, SimplyBook.me, or Google system errors

Where a major platform failure prevents SpeakJP from providing a paid one-on-one session, SpeakJP will ordinarily attempt to reschedule or provide another reasonable remedy.

Real-Time Captions and Translation

SpeakJP may provide AI-powered real-time captions and translation.

Depending on platform availability, features may include:

• Real-time speech recognition
• Original-language captions
• Translated captions
• Display of original and translated captions together
• Switching recognition language
• Turning captions on or off

These features are support tools only.

SpeakJP does not guarantee:

• Complete accuracy
• Availability in every language
• Correct recognition of names or accents
• Correct understanding of context
• Continuous availability
• Compatibility with every device

Users must not rely on automated captions or translation for legal, medical, financial, emergency, or other high-risk matters.

Recordings and AI-Generated Transcripts

Recordings and AI-generated transcripts may be available upon request for eligible one-on-one sessions only.

They are not ordinarily provided for group sessions.

A recording or transcript may include:

• Voice
• Video where a camera is enabled
• Spoken statements
• Chat content
• Captions
• Translations
• AI-generated text

Consent to Recording

A one-on-one session will be recorded only where the relevant participant requests or agrees to the recording.

By requesting or agreeing to a recording, the participant consents to the processing necessary to:

• Record the session
• Generate a transcript
• Provide temporary access
• Delete the provided files after the stated availability period

The participant may decline the recording feature and still attend the session.

Recording Availability and Deletion

Unless otherwise stated, a one-on-one recording and AI-generated transcript are available for up to 12 hours after the session.

After that period, SpeakJP will delete them from the location used to provide access.

If you wish to keep a copy, you must download it before deletion.

SpeakJP is not responsible where:

• You do not download the files in time
• You lose a downloaded copy
• A third-party platform fails to generate the recording or transcript
• The recording or transcript contains an error
• A technical issue makes the feature unavailable

The temporary recording and transcript are additional support features and do not guarantee a perfect record of the session.

Permitted Use of Recordings and Transcripts

Recordings and transcripts are provided for the participant’s personal learning and review.

You may not, without permission:

• Publish them
• Upload them publicly
• Sell them
• Redistribute them
• Use them in advertising
• Use them to harass or embarrass another person
• Edit them deceptively
• Use them to impersonate another person
• Use them in a way that violates privacy, publicity, copyright, or other rights

Privacy

Personal information is handled according to the SpeakJP Privacy Policy.

By using the services, you acknowledge that third-party providers may process information as described in that policy.

Intellectual Property

Unless otherwise stated, SpeakJP or the relevant rights holder owns the rights in:

• The SpeakJP name and branding
• Website text and design
• Session structures
• Lesson materials
• Slides
• Exercises
• Explanations
• Original graphics
• Videos
• Documents
• Community materials
• Other original content

Your purchase grants you a limited, personal, non-exclusive, non-transferable right to use the relevant materials for your own learning.

It does not transfer ownership.

Prohibited Use of Materials

Without prior written permission, you may not:

• Copy substantial portions of SpeakJP materials
• Reproduce or redistribute materials
• Resell materials
• Upload materials to another platform
• Share paid materials publicly
• Use materials to operate a competing commercial service
• Remove copyright or ownership notices
• Create unauthorized commercial derivative materials

Normal personal notes and personal learning use are permitted.

Disclaimer of Results

SpeakJP provides opportunities, tools, and support for Japanese conversation practice.

However:

• Improvement varies
• Participation does not guarantee fluency
• Testimonials or personal experiences are not guarantees
• Social-media follower numbers do not guarantee a particular teaching result
• AI tools may contain errors
• Community participation may vary

You remain responsible for your own learning decisions and use of the service.

Disclaimer of Warranties

SpeakJP will use reasonable care in providing the services.

To the maximum extent permitted by applicable law, services are otherwise provided on an “as available” basis.

SpeakJP does not guarantee that:

• Every session will be free of technical interruption
• Every third-party platform will remain available
• Every caption or translation will be accurate
• Every user will be compatible with the community
• Every feature will remain unchanged
• Every desired schedule will be available

This section does not exclude warranties or obligations that cannot legally be excluded.

Limitation of Liability

To the extent permitted by applicable law, SpeakJP is not liable for indirect, incidental, special, or consequential loss arising from:

• Loss of opportunity
• Loss of income
• Loss of data
• Third-party service failure
• User-side technical failure
• Unauthorized conduct by another community participant
• Reliance on inaccurate AI-generated captions, translations, or transcripts

Where SpeakJP is legally liable in connection with a specific paid service, SpeakJP’s total liability will ordinarily not exceed the amount paid for the specific service giving rise to the claim.

This limitation does not apply where liability cannot legally be limited, including where applicable in cases of intentional misconduct or gross negligence.

Japanese consumer law can restrict clauses that entirely exclude a business operator’s liability or improperly limit consumer rights; these Terms should therefore be interpreted subject to mandatory law rather than as an absolute exclusion of responsibility.

Indemnification for User Misconduct

To the extent permitted by law, you are responsible for loss or expense reasonably caused by your:

• Violation of these Terms
• Illegal conduct
• Infringement of another person’s rights
• Unauthorized sharing of access
• Misuse of recordings or content
• Fraudulent payment activity
• Harmful conduct in a community or session

This section does not require a consumer to assume liability beyond what is permitted by applicable law.

Service Changes

SpeakJP may modify:

• Service content
• Session format
• Scheduling methods
• Platforms
• Features
• Community structure
• Available tools
• Prices for future purchases
• Operational procedures

Changes may be made when reasonably necessary for:

• Service improvement
• Safety
• Platform changes
• Legal compliance
• Technical limitations
• Operational sustainability

Material changes affecting an active paid service will be handled reasonably in light of the circumstances and applicable law.

Changes to These Terms

SpeakJP may update these Terms.

Updated Terms will be posted on the SpeakJP website with a revised “Last Updated” date.

Where a change is material, SpeakJP may also provide notice through:

• SimplyBook.me
• Whop
• Discord
• The website
• Another appropriate service channel

Changes will apply from the stated effective date.

They will not retroactively remove rights already established under mandatory law.

Final Operational Decisions

SpeakJP reserves the right to make reasonable final operational decisions regarding:

• Scheduling
• Capacity
• Session format
• Community structure
• Safety
• Exceptions
• Enforcement
• Interpretation of operational policies

This does not allow SpeakJP to override mandatory consumer rights or applicable law.

Severability

If any part of these Terms is found invalid or unenforceable, that part will be limited or removed only to the extent necessary.

The remaining provisions will continue to apply where legally possible.

No Waiver

If SpeakJP does not immediately enforce a provision, that does not mean the provision has been waived.

A waiver in one situation does not automatically apply to another situation.

Assignment

You may not transfer your rights or obligations under these Terms without SpeakJP’s permission.

SpeakJP may transfer the operation of the service and related agreements to a successor or another operator as part of a legitimate business transfer, subject to applicable law.

Entire Agreement

These Terms, together with:

• The Privacy Policy
• The applicable service description
• The checkout conditions
• The legally required commercial disclosure
• Any clearly communicated community rules

form the agreement between you and SpeakJP regarding the relevant service.

Where specific conditions displayed at checkout conflict with a general provision in these Terms, the more specific condition will ordinarily apply to that transaction, unless it violates mandatory law.

Governing Law

These Terms are governed by the laws of Japan.

However, these Terms do not exclude mandatory consumer-protection rights that may apply in the user’s country or region.

Dispute Resolution

If a dispute arises, the user and SpeakJP should first attempt to resolve it through good-faith communication.

Where permitted by applicable law, disputes that cannot be resolved through discussion will be submitted to a court of competent jurisdiction in Japan having jurisdiction over the location of the SpeakJP operator.

Language

These Terms are provided in English for international users.

If a Japanese version is later created and a material difference exists between the two versions, SpeakJP should clearly state which version controls.

Until such a statement is published, these English Terms constitute the publicly provided version.
